Title:   DECISION ON AIUSA COUNSEL
Resolved:


WHEREAS AIUSA Counsel Hogan & Hartson, L.L.P. advised the AIUSA Board throughout its handling of the Bocek matter and also advised the AIUSA Board on 2003-2004 resolutions related to the Board's handling of the Bocek matter;


THEREFORE BE IT RESOLVED that no later than the Fall 2004 Board meeting, the AIUSA Board shall review the actions of AIUSA Counsel in this matter, including but not limited to (a) the confidentiality agreement drafted by AIUSA Counsel for Barb Bocek, (b) the February 4, 2003 telephone call between AIUSA Counsel and Barb Bocek's Counsel, and who authorized all the content of that telephone call, and (c) the advice of AIUSA Counsel during the 2003-2004 resolutions process; and the Board shall make available to AIUSA members the non-privileged parts of the reports of its review.
