Title:   NOMINATING COMMITTEE'S TERM LENGTH
Resolved:


WHEREAS the Board of Directors recently amended the Bylaws to change the length of term for the Nominating Committee from three (3) years to (1) year, with regional Nominating Committee members eligible for re-election to up to three (3) terms; and

WHEREAS this allows the Board to more easily replace Nominating Committee members, but also has the direct possibility of having a Nominating Committee with no experience; and

WHEREAS to be successful, the Nominating Committee must have some experienced members continue every year in order to recruit the best possible pool of applicants and to conduct the necessary background checking; and

WHEREAS previously two (2) years was the commitment that volunteers were asked to serve on the Nominating Committee:


THEREFORE BE IT RESOLVED that the Board of Directors amend the Bylaws of AIUSA to change the term length of the Nominating Committee to two (2) years, with terms staggered so that no more than three (3) regional members would be elected any one year, and no member of the Nominating Committee shall serve consecutive terms; and

BE IT FURTHER RESOLVED that to achieve the desired staggered terms, some regional members may serve only a one (1) year term in this transition period.


Implementation: The Board of Directors will amend the Bylaws of AIUSA to change the term length of the Nominating Committee to two (2) years, with terms staggered so that no more than three (3) regional members would be elected any one year, and no member of the Nominating Committee shall serve consecutive terms; and

Update: In practice, this Decision is being implemented by the Nominating Committee. The Bylaws Task Force is preparing amendments to the bylaws to fully implement the Decision.
